Microflair Technology and IT Services - Terms and Conditions

These Terms and Conditions ("Terms") govern the provision of IT services by Microflair Technology and IT Services ("Microflair", "we", "us", or "our") to you or the entity you represent ("Client" or "you"). By engaging our services, you agree to be bound by these Terms. Please read them carefully.

Services Microflair agrees to provide IT services as agreed upon in writing between Microflair and the Client. These services may include but are not limited to IT consulting, software development, system maintenance, network management, cybersecurity, and technical support.

Service Level Agreement (SLA): Microflair will make reasonable efforts to meet the service levels specified in the SLA, if applicable. The SLA, if provided, will be attached as an appendix to these Terms.

Client Obligations The Client agrees to cooperate with Microflair in the performance of services, including providing necessary access to systems, data, and personnel.

(B) Payments are due as specified in the invoice provided by Microflair. Late payments may incur interest at the rate of 15% per monthnnel
(C) All fees are exclusive of applicable taxes, which will be added to the invoice as required by law

Fees and Payments (A) The Client agrees to pay Microflair the fees specified in the agreement between the parties or as otherwise agreed upon..

Intellectual Property (A) Any pre-existing intellectual property owned by Microflair and used in the provision of services shall remain the property of Microflair
(B)Any intellectual property created by Microflair during the provision of services shall belong to Microflair unless otherwise agreed upon in writing.
(C) The Client retains ownership of any intellectual property provided to Microflair for use in the provision of services.

Confidentiality (A) Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement
(B)This obligation of confidentiality shall survive the termination of services.

Termination (A) Either party may terminate the agreement upon written notice if the other party breaches a material term of the agreement and fails to cure such breach within 30 days of receiving written notice thereof.
(B) Either party may terminate the agreement immediately if the other party becomes insolvent or goes into liquidation or bankruptcy.

Governing Law and Dispute Resolution (A) These Terms shall be governed by and construed in accordance with the laws of the operating location of our company.
(B) Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations. If the parties are unable to resolve the dispute through negotiations, either party may seek recourse through the courts of Gautam Buddha Nagar, India.

Entire Agreement: (A) These Terms, together with any agreements or appendices attached hereto, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements and understandings, whether written or oral
